The California Energy Commission (Energy Commission) received a petition from the Metcalf Energy Center, LLC, dated August 10, 2004, requesting approval to transfer the ownership and obligations imposed by the conditions of certification of the Metcalf Energy Center Project (MEC) (99-AFC-3C) from Calpine Corporation to Metcalf Energy Center, LLC, a wholly-owned subsidiary of Calpine Corporation.

Calpine Corporation, the current owner of MEC has determined that the requested change of ownership will facilitate third-party financing for the project. Despite the change of ownership, there will be no changes in operational control of the Project. The name of the Project "Metcalf Energy Center" will not change.


A statement describing the ownership change, signed under penalty of perjury by a representative of the proposed new owner of the Project, was submitted to the Energy Commission staff for review and approval as required by Title 20, California Code of Regulations, section 1769(b). The statement affirms that the new owner agrees to be bound by the requirements of the Energy Commission for the MEC project. Based on the information provided, staff intends to recommend that the proposed ownership change be approved by the Energy Commission at the September 8, 2004 Business Meeting.

This Notice of Receipt is being mailed to interested parties and property owners adjacent to the Project site who may want to participate in the ownership change process. The petition to change ownership is available on the Energy Commission's website at www.energy.ca.gov/sitingcases/metcalf/compliance/index.html .
