PETITION TO CHANGE OWNERSHIP of the
RUSSELL CITY ENERGY CENTER PROJECT (01-AFC-7C)


On April 23, 2007, the California Energy Commission received a petition from Calpine Corporation requesting approval to transfer the ownership of the Russell City Energy Center from Calpine Corporation to Russell City Energy Company, LLC. Russell City Energy Company, LLC is jointly owned by Calpine Russell City, LLC (a wholly owned indirect subsidiary of Calpine Corporation) (65%) and Aircraft Services Corporation (a wholly owned indirect subsidiary of General Electric Company) (35%).

The 600-megawatt project was certified on September 11, 2002 but never commenced construction. Calpine filed a petition on November 17, 2006 to amend the Energy Commission Decision to change the project location. That petition is currently being evaluated by staff in a separate proceeding and is available on the Energy Commission's website at: http://www.energy.ca.gov/sitingcases/russellcity_amendment/index.html. If the Energy Commission approves the petition, the facility will be located on a different site 1300 feet from the one approved in the Decision. The proposed location is in the city of Hayward, in Alameda County.

ENERGY COMMISSION REVIEW PROCEDURES

A statement describing the change in ownership, signed under penalty of perjury by a representative of the proposed new owner of the project, was submitted to the Energy Commission for review and approval as required by Title 20, California Code of Regulations, section 1769(b). The statement affirms that the new owner agrees to be bound by the requirements of the Energy Commission's Decision for the project and understands the obligations imposed by the conditions of certification. Based on the information provided, staff intends to recommend the proposed change be approved by the Energy Commission at the August 1, 2007 business meeting.

The order (if approved) will also be posted on the website.
